Master Terms of Service

These Terms and Conditions of Use (the "Terms," the "Agreement," or the "Terms of Service") constitute a legally binding agreement between any individual, legal entity, organization, or other person accessing, visiting, using, or interacting with the Platform (the "User") and VIZO MUSIC CORP., including its subsidiaries, affiliates, divisions, successors, assigns, licensors, and all present and future brands, including, without limitation:

• VIZO MUSIC
• VIZO RADIO
• VIZO VOICE
• Any website
• Mobile application
• Desktop application
• Software
• API
• Digital platform
• Online service
• Technology
• Artificial Intelligence systems
• Any current or future product or service owned, operated, managed, licensed, or otherwise controlled by VIZO MUSIC CORP.

These Terms govern all access to and use of the Services provided through the Platform.

By accessing or using any portion of the Platform, the User acknowledges that they have read, understood, and agreed to be legally bound by these Terms.

If the User does not agree to all of these Terms, they must immediately discontinue all access to and use of the Platform and its Services.

For purposes of interpretation and enforcement of this Agreement, the following terms shall have the meanings set forth below.

Platform

"Platform" means all websites, mobile applications, desktop applications, domains, subdomains, servers, software, databases, APIs, Artificial Intelligence systems, digital radio services, technology, infrastructure, content, and related services owned, operated, licensed, or controlled by VIZO MUSIC CORP.

VIZO MUSIC

The service through which Users may request the creation, composition, adaptation, arrangement, musical production, mixing, mastering, or generation of musical works using human creators, Artificial Intelligence technologies, or any combination thereof.

VIZO RADIO

The free digital music streaming and online radio service operated by VIZO MUSIC.

VIZO VOICE

The digital platform dedicated to voice-based content, including podcasts, interviews, motivational content, coaching, mentoring, educational programs, audiobooks, public speaking, live broadcasts, discussions, and any other spoken-word content.

Content

"Content" includes, without limitation:

• Music
• Lyrics
• Vocals
• Voices
• Audio recordings
• Podcasts
• Images
• Photographs
• Videos
• Avatars
• Logos
• Designs
• User interfaces
• Source code
• Software
• Artificial Intelligence models
• Algorithms
• Databases
• Documents
• Text
• Graphics
• Comments
• Reviews
• Metadata
• Animations
• Sound effects
• Trademarks
• Trade names
• Service marks
• Any other digital material made available through the Platform.

User

Any individual or legal entity that accesses or uses the Platform.

User Content

Any material submitted, uploaded, published, transmitted, recorded, stored, or otherwise made available by a User, including but not limited to lyrics, songs, voice recordings, podcasts, photographs, videos, comments, avatars, artwork, and other digital files.

Artificial Intelligence

Any automated technology, machine learning model, generative AI system, algorithm, or software used by VIZO to create, analyze, process, classify, generate, recommend, edit, modify, enhance, or assist in the production of Content or Services.

By accessing or using any VIZO Service, the User represents and warrants that:

• They possess the legal capacity to enter into this Agreement.
• They meet the minimum legal age required under applicable law or have obtained valid consent from a parent or legal guardian where required.
• All information provided to VIZO is accurate, complete, truthful, and kept up to date.
• They will use the Platform only for lawful purposes and in compliance with all applicable laws and regulations.
• They agree to be legally bound by these Terms, together with all policies incorporated herein by reference.

If a User accesses the Platform on behalf of a corporation, partnership, nonprofit organization, government agency, or other legal entity, that individual represents and warrants that they possess full legal authority to bind such entity to these Terms.

VIZO operates as a technology platform that may offer, among other services:

• Musical composition based on User-submitted lyrics.
• Music production.
• Artificial Intelligence-assisted composition.
• Melody generation.
• Arrangement and orchestration.
• Mixing.
• Mastering.
• AI-generated vocals.
• Creative production tools.
• Digital radio broadcasting.
• Podcast publishing.
• Audio streaming.
• Content hosting.
• Public profiles.
• Private profiles.
• Subscription services.
• Premium memberships.
• Social networking features.
• Creator tools.
• Community features.
• Any additional products, technologies, or services introduced by VIZO in the future.

VIZO does not guarantee that any particular Service will remain available indefinitely and reserves the right to modify, suspend, discontinue, replace, or remove any feature or Service at any time, with or without prior notice, except where otherwise required by applicable law.

Except as expressly provided with respect to User Content under these Terms, all rights, title, and interest in and to the Platform are and shall remain the exclusive property of VIZO MUSIC CORP. and its licensors.

Such intellectual property includes, without limitation:

• Software
• Artificial Intelligence systems
• Machine learning models
• Algorithms
• Source code
• Object code
• Databases
• Platform architecture
• Trade secrets
• Proprietary methods
• Know-how
• User interfaces
• Visual designs
• Graphic elements
• Logos
• Trademarks
• Service marks
• Trade dress
• Brand names
• Original avatars created by VIZO
• Original music owned by VIZO
• Sound effects
• Documentation
• Technical materials
• Editorial content
• Compilations
• Metadata
• Digital assets
• Business processes
• All other proprietary technology and intellectual property associated with the Platform.

Nothing contained in these Terms shall be construed as granting the User any ownership rights in or to the Platform or any of its intellectual property unless expressly set forth in a separate written agreement executed by an authorized representative of VIZO MUSIC CORP.

All rights not expressly granted herein are reserved by VIZO MUSIC CORP.
